B2B Terms and Conditions for Resellers
Effective Date: May 26, 2024

1. Parties

This Agreement is made between Surf the Andes LLC ("Provider") and [Reseller Name] ("Reseller"). Reseller agrees to market and resell Provider’s travel trips and services to its customers ("End Users").

2. Scope of Services

Provider grants Reseller a non-exclusive right to market and resell Provider’s trips. The provider is responsible for trip delivery and quality.

3. Booking and Payment

• Bookings submitted by Reseller must follow Provider’s procedures.
• A 30% deposit per booking is due upon reservation confirmation.
• Full payment is due 30 days before the trip start date. Late payments may incur a 5% weekly fee and possible cancellation.

4. Cancellation and Refunds

• Provider’s cancellation policies apply.
• Reseller must inform End Users and secure acknowledgment of these policies.

5. Reseller Responsibilities

• Ensure End Users receive and accept all relevant terms, liability waivers, and privacy policies.
• Accurately market trips without misrepresentation.
• Comply with all applicable laws.

6. Liability and Indemnification

• The provider's liability is limited to the amount paid for the booking.
• Reseller indemnifies and holds Provider harmless from claims arising from Reseller’s actions or breaches.

7. Intellectual Property

• Provider grants Reseller a limited license to use Provider’s branding for marketing only.
• All intellectual property rights remain with the Provider.

8. Confidentiality

• Both parties shall keep confidential any sensitive information shared.

9. Term and Termination

• This Agreement starts on the Effective Date and continues until terminated with 30 days’ notice.
• Immediate termination possible for material breach.

10. Governing Law

• Governed by California law. Disputes subject to mediation then courts in California.

By marketing or reselling Surf the Andes trips, Reseller agrees to these Terms and Conditions.
